A limited liability partnership is a body corporate with a legal personality separate from its partners, formed by incorporation under the LLP Act rather than by a private agreement alone. It can own property, sue and be sued in its own name, and it continues despite changes in partners.
That separation gives partners limited liability for the obligations of the LLP, which is the central difference from a traditional partnership where partners are jointly and severally liable without limit. It is the reason most professional firms and small partnerships that formalise choose this route.
The internal workings are governed by the LLP agreement between the partners — profit sharing, management, admission and exit, decision-making, dispute resolution. Where the agreement is silent, default provisions apply, and those defaults may not be what you would have chosen.
