If you begin trading without forming anything, you are a sole proprietor. The business is you. It has no separate existence, its bank account is your account in a trading name, and its obligations are yours without limit. That is not a technicality; it is the whole of the risk.

The consequence appears when something goes wrong. A supplier sues for an unpaid bill, a customer claims for a defective delivery, a lease is signed and the business cannot pay the rent. In each case the claim is against you personally, and recovery can reach your personal assets. There is no ceiling equal to what you put into the business.

For a very small, low-risk activity that may be an acceptable trade-off against simplicity, and proprietorships are simple: no incorporation, minimal filings. The trade-off stops being acceptable the moment the business takes on obligations larger than you would be willing to pay out of your own pocket — inventory on credit, a lease, employees, or a contract with penalties.

Section 3 of the Companies Act, 2013 states how a company may be formed and by how many persons. A public company may be formed by seven or more persons, a private company by two or more, and a One Person Company by one person, in each case by subscribing to a memorandum and complying with the registration requirements.

A private company is the ordinary vehicle for a small or growing Indian business. Its shares are not offered to the public, transfer is restricted by its articles, and there is a cap on the number of members. This is the form venture investors expect, because equity can be issued, transferred and diluted through a recognised process.

A public company is the form used where shares are to be offered widely or the business is large enough to need it, and it carries a heavier governance regime accordingly. For most viewers of a video like this, the real choice is between a proprietorship, an LLP, an OPC and a private limited company rather than between private and public.

The protection is against ordinary business obligations. If the company owes a supplier and cannot pay, the supplier's claim is against the company; your exposure is limited to the amount unpaid on your shares. That is a genuine and valuable protection and it is the main reason to incorporate.

It has real limits, and founders are frequently surprised by them. A personal guarantee — which banks and landlords routinely require from directors of a small company — puts your personal assets back on the line for that specific obligation, by your own signature. Read what you are guaranteeing before you sign, because the company form does not undo it.

Fraud is outside the protection entirely, and certain statutory dues can be recovered from officers who were responsible. Nor does incorporation cure a failure to keep the separation real: mixing personal and company money, using the company account for household expenses, or ignoring the formalities weakens the very distinction you are relying on.

A private limited company has the most obligations: board meetings and minutes, statutory registers, an annual general meeting, annual filings with the Registrar, a statutory audit regardless of turnover, and director filings. None of it is individually difficult, but it is continuous, and it has a real annual cost in professional fees.

An LLP sits between: separate legal personality and limited liability for the partners, with a lighter compliance regime and audit required only past thresholds. It suits professional practices and businesses that do not intend to raise equity. An OPC gives a single founder incorporation and limited liability, subject to restrictions including conversion requirements once it grows past specified limits.

Choose on where the business is going, not only on where it is. Switching later is possible but costs time, fees and sometimes tax. If you intend to raise institutional investment, a private limited company is effectively the requirement. If you are a two-person services firm with no such plan, an LLP may serve you better than a structure whose compliance you will resent.
