Section 134 requires financial statements to be approved by the board and signed as prescribed, and a report of the board to be attached. The report covers matters specified in the section and the rules — among them the state of the company's affairs, amounts proposed to be carried to reserves and any dividend recommended, material changes affecting the financial position between the year end and the date of the report, and the company's policy on directors' appointment and remuneration where applicable.

It also requires particulars of loans, guarantees or investments, and of contracts or arrangements with related parties. For a shareholder wondering where the money went, those are the two most informative headings in the entire document, because that is where transactions with connected persons have to surface.

The report must additionally explain every qualification, reservation or adverse remark made by the auditor. That obligation is useful precisely because it forces a written answer from the board to a professional's stated concern, rather than allowing the concern to sit unaddressed in the audit report.

Within the report the directors make a responsibility statement. In it they state that applicable accounting standards have been followed, that they selected accounting policies and applied them consistently and made judgments that are reasonable and prudent so as to give a true and fair view, that proper and sufficient accounting records have been maintained, that the accounts were prepared on a going concern basis, and that proper systems to ensure compliance with applicable laws were devised and are operating effectively.

Read as boilerplate, it looks like a formality. Read as what it is, it is a set of specific affirmations by named individuals about the accounts you are looking at. If those accounts later prove to have concealed transactions, the statement is not a defence — it is part of the record of what was represented and by whom.

That is why the section matters to a shareholder even when nothing looks wrong. It creates a documented chain of responsibility. Directors who sign it are making assertions they may be asked to stand behind, and that prospect is itself part of the deterrent the provision is designed to create.

Companies file their financial statements and annual return with the Registrar of Companies, and those filings are available to the public through the Ministry of Corporate Affairs portal. You do not need to be a shareholder to view a company's filed documents, and the fee is small.

Look at the accounts alongside the Board Report and the auditor's report; read all three together rather than any one alone. The auditor's opinion tells you whether the accounts can be relied on, the Board Report tells you what the directors say about the year and about the auditor's concerns, and the notes to the accounts carry the detail on related party transactions.

A shareholder has additional rights: to receive the financial statements ahead of the annual general meeting, to ask questions at that meeting, and to inspect certain registers the company must keep, including registers of contracts in which directors are interested. Those rights are exercised by asking in writing, in time, and keeping the request on record.

Start by asking, in writing, at the right forum. Questions raised at the annual general meeting and recorded in the minutes carry more weight than informal complaints, and a written question that goes unanswered is itself a fact worth having on record.

If the answers do not satisfy you, escalate on the basis of documents rather than suspicion. A specific query — this related party payment, that unexplained loan, this auditor qualification and the board's explanation of it — is far more actionable than a general allegation that money is being taken.

Beyond that, minority shareholders have statutory remedies for oppression and mismanagement before the National Company Law Tribunal, and the ministry has powers of inspection and investigation. Both are serious steps with cost and time attached, so take advice on the strength of the documents first. What makes any of it viable is the paper you assembled from the public filings before you started.
