Registration under the Trade Marks Act gives the proprietor an exclusive right to use the mark in relation to the goods or services it is registered for, and a statutory remedy for infringement. That remedy is the practical point: you can act against someone using an identical or deceptively similar mark without having to prove the reputation you built from scratch.
Without registration you are not without rights entirely — the common law action of passing off protects goodwill actually established. But it is a harder case: you have to prove the goodwill, the misrepresentation and the damage, with evidence. Registration replaces much of that burden with a certificate.
It is also an asset. A registered mark can be licensed, assigned or valued, and it is something an investor or acquirer will ask to see. A business trading under a name it does not own is carrying a defect that surfaces during diligence, and by then the leverage to fix it has usually gone.
