In an apartment purchase you are buying two different things. The land under the building cannot be divided physically, so you get an undivided share in it, proportionate to your flat. That is immovable property and moves by a registered sale document. The flat itself does not exist yet; it is something the builder agrees to construct for you, which is a works contract.
Splitting the transaction reflects that reality, and it also changes the tax and stamp duty position, since duty on the land component and the taxation of the construction component are computed differently. That is legitimate, and every large developer does it.
The problem arises when the split is used to move risk onto you. The builder registers the land agreement — securing their money and your obligation — while keeping the construction agreement unregistered, vaguely specified, and silent on what happens if the building is late, changed or never finished.
